What is the cost to complete a Business Formation application?  top

Payment options for the Formations online application include Credit Card (Visa, Discover, MasterCard, and American Express are all accepted) and eCheck.
Fees for the service are outlined in the table below:

Please note: the New Jersey Information Division of NICUSA, Inc. (NICUSA-NJ), an electronic government partner with the State, will process your payment through an upgraded and secure payment gateway. NICUSA-NJ will remit to the State of New Jersey all payments and amounts owed to the State.

The online charge processed through NICUSA-NJ includes funds in excess of payments owed as outlined in the table above. NICUSA-NJ uses the excess funds solely to develop, run, maintain, enhance and expand the State’s electronic service offerings. NICUSA-NJ does not share any excess funds with the State of New Jersey.

How can I find out whether the Business Name I want to use is available?  top

The Formations application has a built in check to determine name eligibility. If the name you select has not been registered by another business, then you will be able to proceed with forming the business. If the name is already registered or is close to another registered business name, then you will receive an error message indicating the name is not available. If you are unsure of the name you would like to use, you can also use our stand-alone Business Name Availability search website to see availability of the name(s) you are considering: https://njportal.com/DOR/BusinessNameSearch/Search/Availability

How does the Name Search determine if a name similar to my Business Name exists?  top

The Name Search ignores all capitalization, spaces, punctuation (periods, commas, dashes and apostrophes), leading articles (A, AN, THE), trailing ‘s’, as well as the words AND, OR, OF, and the & symbol when searching for similar names. A wildcard is then added at the end of your name for the search to insure all similar names are found.

Can I include punctuation/symbols in my Business Name?  top

Only the following special characters can be included in your Business Name: . , ' - &
All other punctuation, special characters and diacritics (for Example: ñ, â, ë) cannot be included in your Business Name. If you would like to use the characters # ! ? $ / you will need to file a paper application using the form located at https://www.nj.gov/treasury/revenue/pdforms/pubrec.pdf

Are there any words I cannot include in my Business Name?  top

The following words cannot be included anywhere in your Business Name:

Profanity is not allowed anywhere in your business name. Including profanity in your business name may result in your business being expunged by the Division of Revenue.

What if I want to include one of the restricted words in my Business Name?  top

Restricted words cannot be used in Business Names for online Formations applications. If you would like to use a restricted word, please email your name availability to the Corporate Filing Department at https://www.state.nj.us/treasury/revenue/revgencode.shtml.

Why can’t I enter a designator at the end of my Business Name?  top

Designators should not be included at the end of your Business Name entry. You will be able to select your preferred designator later in your application.

The system told me that the Business Name I’ve entered is reserved / I am trying to use a Business Name that I have reserved. What should I do?  top

You will not be able to use the online filing service to complete a Formation application for a reserved Business Name. For more information on how to file with a reserved name, please email your name availability to us at https://www.state.nj.us/treasury/revenue/revgencode.shtml.

I want to use a Business name that is less than 4 characters long; how can I do that?  top

Due to processing limitations, the Business Name must be at least 4 characters in length in order to use the online Formations application. This excludes leading articles, trailing ‘s’, spaces, punctuations and conjunctions (AND, OR, OF, &). If you want to use a name that is less than 4 characters, email your name availability to us at https://www.state.nj.us/treasury/revenue/revgencode.shtml.

I’m not sure what Business Type to select. Where can I go for more information on the types?  top

When organizing your business, there are different business structures from which you can choose. You should have a good understanding of the pros and cons of each type. It is strongly recommended that if you are unsure of which structure is best for your business, you should seek professional advice from an attorney or accountant. I don’t have an EIN Number; how can I get one?  top

What should I enter for my Business Purpose?  top

For the business purpose you will need to give a specific explanation of the purpose for your business.

What is a Registered Agent?  top

(1) Every corporation organized for any purpose under any general or special law of this State and every foreign corporation authorized to transact business in this State shall continuously maintain a registered office in this State, and a registered agent having a business office identical with such registered office.

(2) The registered office may be, but need not be, the same as a place of business of the corporation which it serves.

(3) The registered agent may be a natural person of the age of 18 years or more, or a domestic corporation or a foreign corporation authorized to transact business in this State, whether or not any such agent corporation is organized for a purpose or purposes for which a corporation may be organized under this act.

(4) The designation of a principal or registered office in this State and of a registered agent in charge thereof by any corporation of this State or by any foreign corporation authorized to transact business in this State, as in force on the effective date of this act, shall continue with like effect as if made hereunder until changed pursuant to this act.

What types of files can I upload for my Business Purpose/Good Standing Certificate? Is there a size limit?  top

You can upload a single PDF or PNG file for your Business Purpose or Good Standing Certificate. Your file(s) can be a maximum of 3MB in size or 10 pages in length. If your file is longer than 10 pages, the system may still upload the file, but the size of the file could cause your Formation Certificate to be too large to download and you will be unable to receive your completed Formation Certificate.

How can I go back to a section of my application and make changes?  top

For applications still in progress, you can use the left-hand navigation to jump to different sections. Just click on the section title listed to go to the section and make changes. Note: section title listed in grey are not available until you complete the previous section. You can also use the edit buttons on the Review Page to return to a previous section and make changes.

I’ve completed my Business Formation. What should I do next?  top

Within 60 days of forming your business, you will need to register your business for tax and employer purposes. You can do this online at: https://njportal.com/DOR/BusinessRegistration

I need to file a change to my business/amend articles of my certificate, how do I do that?  top

What is an eCheck?  top

eCheck or "Electronic check" is the term for using a checking account to make payments on the Internet. A customer will be asked to enter appropriate checking account information to validate the account. The account used must have sufficient funds to cover the transaction cost.

I would like a refund for my Formations application.  top

The formation of a business entity requires the submission of prescribed documents, information and payment. Once a business entity is formed or authorized to do business in New Jersey, the formation fees are not subject to refund. To close the operation in New Jersey, a business entity must be legally dissolved or cancelled depending on the entity type. The forms, fees and instructions can be found on the NJ Division of Revenue & Enterprise Services’ website.

If upon review of the formation documents a filing is found deficient, the Division will reach out to the entity via e-mail and the United States Postal Service in order to have the deficiency corrected. If the deficiency is not corrected, the filing will be expunged and the filing fee will be forfeited. This also applies to foreign entities seeking authorization to do business in this state.

When will I receive my Formations documents? Will I receive my documents by mail?  top

After you have successfully paid for the transaction you will be presented with a confirmation page that provides link(s) to download your purchased document(s). The documents are PDF files and can be saved and printed from your computer. You will need to download these documents electronically because these Formations documents will not be sent to you by mail.

I forgot to download my documents, can I still retrieve them?  top

Yes. Your documents are available for 30 days from the purchased date. Upon successful completion of your transaction, users will receive a confirmation email that contains links to the documents. If you do not have the email, then you may call (609) 586-2600 for assistance.

What happens if I don’t finish my application & payment and close my browser?  top

All information will be lost. You will need to start over from the beginning. It is strongly recommended that you complete your transaction before closing your browser.

What if my PC crashes while I’m working on my application?  top

All information will be lost. You will need to start over from the beginning.

How long can I leave my browser and shopping cart open with no activity without losing my application?   top

For security purposes, after 30 minutes of inactivity all information will be lost.

What are Annual Report Filing Reminders?   top

You can sign up to receive free electronic (text/e-mail) messages to remind you when it’s time to file your Annual Reports. This service is provided by our E-Government vendor, NIC, through its gov2go service.
