I received a notice about the program. Am I required to participate?

My business did not receive a notice about the program but would like to participate. May it do so?

I want to review my tax records online at https://www1.state.nj.us/TYTR_TaxDebts/JSP/LoginType.jsp and do not have my PIN and/or tax ID number. How do I obtain them?

What date may I use as my Business End Date?

The system says that my business has an outstanding corporate business tax (CBT) return due that is dated prior to the end date I entered on the dissolution/reinstatement page. Can I change the end date to a date that is earlier than the CBT return date and proceed with my dissolution or reinstatement?

The system says that the business made payments or filed returns (had tax activity) for periods after the end date that I entered on the dissolution/reinstatement page. Can I change the end date to a date that is later than the last activity date and proceed with my dissolution or reinstatement?

Standing Certificates and Status Reports ordered within the Annual Reports & Change Services application will reflect any changes made during your filing. Please note, if you choose to wait and order documents from the Business Records Service, please allow 2 (Two) Business Days for changes made in the Annual Reports and Change Services to be reflected in the State's record.

What is the service fee?  top

The New Jersey Information Division of NICUSA, Inc. (NICUSA-NJ), an electronic government partner with the State, will process your payment through an upgraded and secure payment gateway. NICUSA-NJ will remit to the State of New Jersey all payments and amounts owed to the State.

The online charge processed through NICUSA-NJ includes funds in excess of payments owed. NICUSA-NJ uses the excess funds solely to develop, run, maintain, enhance and expand the State’s electronic service offerings. NICUSA-NJ does not share any excess funds with the State of New Jersey.

What is an Electronic Check?  top

"Electronic check" is the term for using a checking account to make payments on the Internet. A customer will be asked to enter appropriate checking account information to validate the account. The account used must have sufficient funds to cover the transaction cost.

How can I validate a certificate that I received?  top

You may validate certificates by using Validate Certificate.

The following Certificates may be validated: Annual Report Certificate, Change of Registered Agent Certificate, Reinstatement Certificate, Pending Reinstatement Certificate, all Dissolution and Withdrawal Certificates, and the three types of Standing Certificates

If a NJ For-profit or Non-profit corporation elects to dissolve before commencing business or to dissolve without assets, there is no charge for the dissolution.

What is the application for Tax Clearance?  top

The following business types are required to file an application for tax clearance to reinstate their business with the NJ Division of Revenue if the business is revoked for failure to pay annual reports over two years from the current date: foreign profit corporations, domestic limited partnerships, and domestic and foreign limited liability companies. Tax clearance is required for all for-profit corporations to end their business in the State of New Jersey. The application for Tax clearance will be submitted to the Division of Taxation electronically. Please note that the issuance of the Tax Clearance Certificate is a lengthy process and may take several months.

There is a charge for the application for Tax Clearance of $20.00 that is submitted through the application to the Division of Taxation.

What is the application for Reinstatement of Corporate Charter?  top

The Application for Reinstatement of Corporate Charter is filled out by domestic for-profit corporation. The application is submitted electronically for review to the Division of Taxation.

What does it cost to change my registered agent?  top

If you change you registered agent as part of the annual report or reinstatement filing, there is a charge of $25.00 with no additional service fee. If you choose to change your registered agent as a standalone process, there is a $25.00 statutory charge and a service fee of $3.00 for a credit card or $1.00 for an eCheck.

Do I have to fill out the section for Worker’s Compensation?  top

You have to fill out the Worker’s Compensation section, even if you’re not required to carry Worker’s Compensation. If you are not required to carry worker’s compensation, select the ‘No’ option when asked if the company is required to carry Worker’s Comp. The information required for the application should be located on the declaration page of your worker’s compensation policy.

How can I obtain a print-out of what I have paid for annual reports over the years?  top

My business has been dissolved but I received a notice regarding filing an annual report. Do I have to file as my business is dissolved?  top

No, if your business is dissolved, you do not have to file an annual report. Please call the Division of Revenue at 609-292-9292 if you have further questions.

I am trying to end my New Jersey Limited Liability Company (LLC). Which ending selection should I choose, Dissolve or Dissolve and Terminate?   top

You should choose Dissolve if your business will not immediately cease operations. Dissolve and Terminate should be chosen if your LLC will no longer be conducting any operations in the State of New Jersey.

What do I do if my business name is no longer available when attempting to reinstate?  top

You will need to select a new name for your business and file a name change amendment (with appropriate fee payment) prior to filing for reinstatement.

For applications still in progress, you can use the left-hand navigation to jump to different sections. Just click on the section title listed to go to the section and make changes. Note: section title listed in grey are not available until you complete the previous section. You can also use the edit buttons on the Review Page to return to a previous section and make changes.

When will I receive my documents? Will I receive my documents by mail?   top

After you have successfully completed the application you will be presented with a confirmation page that provides link(s) to download your document(s).

You will need to download the documents electronically as they will not be sent to you by mail.

I forgot to download my documents, can I still retrieve them?   top

Yes. Your documents are available for 30 days from the purchased date for standing certificates and status reports, and 90 days for all other documents (Annual Report Certificates, Applications for Tax Clearance). Upon successful completion of your transaction, users will receive a confirmation email that contains the link to the documents. If 90 days have passed, you will have to contact the Division of Revenue at 609-292-9292, for assistance with obtaining your annual report filing.

What happens if I don’t finish my application and close my browser?   top

All information will be lost. You will need to start over from the beginning. It is strongly recommended that you complete your application before closing your browser.

What if my PC crashes while I’m working on my application?   top

All information will be lost. You will need to start over from the beginning.

How long can I leave my browser open with no activity without losing my application?  top

For security purposes, after 30 minutes of inactivity all information will be lost.

What are Annual Report Filing Reminders?  top

You can sign up to receive free electronic (text/e-mail) messages to remind you when it’s time to file your Annual Reports. This service is provided by our E-Government vendor, NIC, through its gov2go service.

I have received a notice in the mail regarding filing my business's annual report. What should I do?  top

There are reputable business services providers that offer filing services for a fee (plus the required State statutory filing fees). However, there may be other businesses that solicit such work for a fee that are not reputable and may not perform the expected services after a customer makes the required payment. Please be aware that you can file your annual report yourself using the State's online filing service here.

Streamlined Reinstatement/Dissolution Program Questions

I received a notice about the program. Am I required to participate?  top

No. Participation is voluntary. But give careful consideration to participating. The program provides a quick and efficient way to either reinstate or dissolve.

My business did not receive a notice about the program but would like to participate. May it do so?  top

Yes. Participation is voluntary. However, you could also consider using the regular processes for dissolution or reinstatement that are accessible though our web site at nj.gov/njbgs.

To locate your tax ID, review one of the company’s filed New Jersey tax returns.

Select the earliest date (month/year) that you no longer conducted business and had no assets. For example, if you conducted business 11/2019 but did not conduct any business 12/2019 then you would make your Business End Date 12/2019.

You must resolve all outstanding tax deficiencies before proceeding. You may pay tax amounts due and file many tax returns online. Other tax returns must be filed by paper. Contact the Business Tax Call Center at 609-943-5000 for additional information.

Yes. If you do not owe any money for the taxes/periods listed, you may proceed with your filing, which will include an attestation that your business does not have any outstanding tax obligations.

Otherwise, if your business owes taxes for any of the periods prior to your Attested Business End Date, file the returns for these periods via online services if available and/or through paper returns directed to the following address:

Once you have done this, please allow 10 business days for the processing of any online tax returns or payments and 30 days for any paper returns or payments. Then follow the instructions you receive in your e-mail about how to complete your Business Ending filing.
